En France, la rentrée est synonyme de nouveaux projets et de nouveaux horizons. Alors que les enfants reprennent le chemin de l'école et que les entreprises relancent leur rythme après l'été, de nombreuses familles commencent à réfléchir à leurs projets pour l'année à venir.

Pour les entrepreneurs qui envisagent de s'installer aux États-Unis, la rentrée prochaine peut sembler encore lointaine. Pourtant, lorsqu'ils commencent à s'intéresser sérieusement aux questions de scolarité, de logement et d'immigration, de nombreuses familles sont surprises de constater à quel point il est déjà nécessaire d’une préparation importante.

Pour les entrepreneurs français souhaitant développer leur activité outre-Atlantique, le visa E-2 « Treaty Investor » peut permettre de vivre et de travailler aux États-Unis afin de développer et diriger une entreprise américaine dans laquelle ils ont réalisé un investissement substantiel. Les conjoints légalement mariés ainsi que les enfants de moins de 21 ans peuvent généralement accompagner l’investisseur principal E-2 en qualité de personnes à charge. Contrairement à la France, le PACS n’est pas reconnu comme une relation conjugale permettant de bénéficier du statut de conjoint aux fins de l’immigration américaine. Les conjoints de titulaires d’un visa E-2 sont généralement autorisés à travailler du seul fait de leur statut après leur admission aux États-Unis.

Cependant, réussir un projet d’installation aux États-Unis sous statut E-2 nécessite bien davantage de préparation que le simple dépôt d’une demande auprès de l’Ambassade des États-Unis.

Si votre objectif est d'être installé aux États-Unis avant le début de la prochaine année scolaire, il est essentiel de planifier votre projet en remontant à partir de votre date de déménagement souhaitée.

Avant de pouvoir déposer une demande de visa E-2, l’investisseur devra généralement créer ou acquérir une entreprise aux États-Unis, déterminer la structure d’investissement appropriée, engager irrévocablement des fonds dans l’entreprise, élaborer un business plan détaillé sur cinq ans accompagné de projections financières, et réunir une documentation complète relative à l’investissement et à l’entreprise.

Une fois l'entreprise et l'investissement correctement structurés pour répondre aux exigences du visa E-2, le dossier de demande doit être préparé et soumis conformément aux procédures en vigueur auprès de l'ambassade des États-Unis à Paris.

D’après notre expérience, l’une des erreurs les plus fréquentes des futurs investisseurs E-2 consiste à sous-estimer la durée de la phase de préparation. Les décisions relatives à la structure de l’entreprise, au calendrier de l’investissement, aux justificatifs à fournir et à la stratégie de dépôt prennent souvent plus de temps que prévu, notamment lorsque l’investisseur doit parallèlement gérer le lancement de son activité et préparer un déménagement international.

Sur le plan professionnel, les investisseurs sont souvent surpris par le nombre de démarches à accomplir avant même que la demande de visa puisse être déposée. L’ouverture de comptes bancaires, le transfert des fonds d’investissement, le recours à des conseils professionnels, la signature de baux commerciaux et le lancement des opérations peuvent tous prendre du temps, en particulier lorsque ces démarches sont coordonnées depuis l’étranger.

Pour les entrepreneurs qui s’installent aux États-Unis avec leurs enfants, une autre échéance vient souvent s’ajouter : le calendrier scolaire américain, l’année scolaire débutant dans de nombreuses régions dès la mi-août.

Les familles qui souhaitent arriver aux États-Unis pendant l’été doivent souvent prévoir du temps non seulement pour les démarches d’immigration elles-mêmes, mais également pour rechercher des établissements scolaires, choisir leur lieu de résidence, trouver un logement, obtenir les dossiers scolaires et les justificatifs de vaccination, et coordonner les nombreux aspects pratiques liés à un déménagement international.

Nous sommes souvent contactés au printemps par des familles souhaitant s’installer aux États-Unis avant le début de l’année scolaire suivante. Si ce calendrier peut tout à fait être réalisable, les investisseurs qui commencent leurs démarches plus tôt disposent généralement d’une plus grande flexibilité pour prendre leurs décisions concernant l’entreprise, préparer leur demande et organiser leur installation. Anticiper permet également de mieux tenir compte des disponibilités pour les rendez-vous ainsi que des éventuels imprévus pouvant survenir au cours de la procédure de visa.

Votre liste de contrôle E-2 pour cette rentrée

Si les États-Unis font partie de vos projets pour 2027, c'est le bon moment pour commencer à réfléchir aux points suivants :

  • Souhaitez-vous créer une nouvelle entreprise aux États-Unis ou acquérir une entreprise existante ?
  • Quel sera le montant de votre investissement et selon quel calendrier sera-t-il réalisé ?
  • Quelle est l'origine de vos fonds et serez-vous en mesure d'en démontrer la traçabilité ?
  • Quel est votre calendrier prévisionnel de lancement, d'exploitation et de recrutement ?
  • Dans quelle région des États-Unis envisagez-vous de vous installer avec votre famille ?
  • Quels sont les délais d'inscription scolaire et les autres considérations éducatives pour vos enfants ?
  • À quelle date souhaitez-vous vous installer aux États-Unis ?

Si le visa E-2 offre une grande flexibilité aux entrepreneurs, les dossiers les plus solides sont généralement ceux pour lesquels l'entreprise, l'investissement et le projet de mobilité ont été soigneusement préparés en amont.

Pour les entrepreneurs qui souhaitent s'installer aux États-Unis avant la rentrée prochaine, c'est le moment idéal pour évaluer une stratégie E-2. Une préparation anticipée offre généralement la meilleure marge de manœuvre pour structurer l'investissement, préparer la demande de visa et organiser sereinement l'installation de toute la famille.
